1. Acceptance of Terms

By accessing or using WebClipboard ("Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and WebClipboard ("we," "us," or "our").

We reserve the right to modify these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

WebClipboard is a web-based clipboard synchronization service that allows users to save and sync text, links, images, and files across devices. The Service is provided "as is" and "as available" without any warranties.

3. Account Registration

• You must sign in using a valid Google account to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are solely responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts at our sole discretion.

4. User Content

4.1 Your Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing the Service.

4.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to use and share your User Content.
• Your User Content does not violate any third-party rights, including intellectual property rights.
• Your User Content complies with all applicable laws and regulations.

4.3 Prohibited Content

You agree not to upload, share, or store any content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Infringes on any patent, trademark, copyright, or other proprietary rights
• Contains viruses, malware, or other harmful code
• Violates the privacy or publicity rights of others
• Constitutes spam or unauthorized advertising

4.4 Content Removal

We reserve the right, but have no obligation, to monitor, review, or remove any User Content at our sole discretion, without prior notice, for any reason, including but not limited to violation of these Terms.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated means to access the Service without our permission

• Share your account with others or create multiple accounts
• Use the Service to transmit unsolicited communications

The Service, including its original content, features, and functionality, is owned by WebClipboard and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You agree to defend, indemnify, and hold harmless WebClipboard and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any third-party rights
• Your violation of any applicable laws

11. Dispute Resolution

11.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

You may opt out of the arbitration agreement by sending written notice to us within 30 days of first accepting these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. For users in the United States, these Terms shall be governed by the laws of the State of Delaware.

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in Seoul, Republic of Korea, or for U.S. users, in the federal or state courts located in Delaware, and you consent to personal jurisdiction in such courts.

13. Termination

• We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
• You may terminate your account at any time by discontinuing use of the Service and deleting your account.
• Upon termination, your right to use the Service will immediately cease. We may delete your User Content without notice.
• Sections 6, 8, 9, 10, 11, and 12 shall survive termination.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WebClipboard regarding the Service.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, or internet outages.
